NOTICE OF ANNUAL GENERAL MEETING/ NOTICE OF SPECIAL RESOLUTIONS – PROPOSED BY-LAW CHANGES / EXECUTIVE NOMINATIONS 

 

Date:    Wednesday, May 26, 2021     

Time:  7:00 pm  (final on-line checks of eligibility will take place at 6:30 pm) 

Location:   Virtual Meeting – Zoom Conferencing 

    

The VIRTUAL AGM will be open to ELIGIBLE MEMBERS ONLY as outlined in the By-Laws (this includes parents of registered players, officially rostered team staff and approved committee members):

  • All must be members currently in good standing
  • Only parents/guardians who formally submitted their names (maximum of two per family) during the 2020/21 player registration period will be eligible to attend and vote at the meeting.

 

Virtual AGM Instructions

  • Further details and a link to enter the AGM will be forwarded to eligible members by May 24, 2021.
  • A pre-registration process for the meeting will be initiated and a Credentials Committee will review all individuals who wish to attend the meeting.
  • Again, only those members who meet the eligibility criteria will be permitted to attend the meeting.
  • In order to be prepared to attend the meeting using the Zoom Conferencing platform, please make sure that you are familiar with the program and that your computer system is ready.  To do this, please use this test link:  https://zoom.us/test .  There will be very limited opportunity to provide technical assistance on the day of the meeting.

 

 As per our BMHA By-Laws, the following Articles pertain to membership for this Annual General Meeting:

 

 3.2 Classes of Membership

There will be three (3) classes of voting Membership in the Association, being:

(a) regular Members;
(b) contributing Members; and
(c) honourary life Members.

 

3.3 Regular Membership

A Person may be a regular Member if he or she:

(a) is 19 years of age or older; and
(b) is either: (i) a Player; or (ii) the Parent or Guardian of a Player for whom the annual registration fee has been paid, provided that, in all cases:
(c) Membership shall be limited to two Parents or Guardians per child, it being understood that a Member having more than one child registered in the Association shall have no greater rights as a Member than a Member having only one child registered in the Association;

 

3.4 Contributing Membership

A Person may be a contributing Member of the Association if he or she:

(a) is 19 years of age or older and is an Association Committee Member or rostered Association team official; or
(b) has demonstrated, by his or her active volunteer service to the Association in the preceding 12 months, a commitment to advancing the purposes and supporting the activities of the Association as approved by the Executive.

If there is any dispute as to whether a Person is a Contributing Member, the issue will be referred to the Executive for consideration and a decision.  This will be done once pre-registration has been completed.

 

The order of business at the Annual General Meeting will be:

a) Call to Order and introductions  

b) Adoption of the agenda  

c) Approval of the minutes of the previous General Meeting  

d) Director Reports  

e) Presentation of the financial statements

f) Committee Reports 

g) Election of Officers 

h) New Business

  • Special Resolutions
  • Other

i) Adjournment

  • All BMHA Executive Committee, Support Staff and Financial Reports will be posted on the Forms & Documents page in the near future for review by the full membership.
  • The current BMHA Constitution & Bylaws can be found here  for review.
  • ** IMPORTANT NOTE ** – As has been done in recent years, there will NO LONGER be a $50.00 registration credit to members who attend the Annual General Meeting.

 


 

NOTICE OF SPECIAL RESOLUTIONS

The following special resolutions (proposed changes noted in below) will be proposed for approval at the meeting of the members of the Burnaby Minor Hockey Association (the Society) to be held on May 26, 2021. Please see the current BMHA Constitution & Bylaws for review and reference.

Note:  While these special resolutions will be considered for approval at this meeting, they will not come into effect until the 2021/22 Annual General Meeting and the 2022/23 season.

 

RESOLVED AS SPECIAL RESOLUTIONS that:

 

Burnaby Minor Hockey Association Bylaws:

 

Resolution # 1  – Part 8 – EXECUTIVE  –  8.2 – Composition of the Executive

Change the current wording to:

The Executive will be composed of the following Directors:

(a) the President

(b) Vice-President People

(c) Vice-President Risk

(d) Vice-President Programs

(e) Treasurer

(f) Director of “C” Hockey

(g) Director of “A” Hockey

(h) Director of Female Hockey

(i) Director of Coaching & Development

(j) Director of BMHA Growth

(k) Director of Volunteers

 

Resolution # 2  –  Part 8 – EXECUTIVE  –  8.5 – Nominations of Directors

Change the current wording to:

(b)  All nominations must be submitted to the Association at least seven (7) days prior to the call to order for the General Meeting. No nominations from the floor will be permitted.

 

Resolution # 3  –  Part 12 – SPECIFIC DUTIES OF THE EXECUTIVE  –  12.3 – Duties of the Vice-Presidents

Change the current wording to:

In the event that the President resigns or is unable to carry out the duties of the President, the Executive will, by majority vote, appoint one of the Vice-Presidents to carry out the duties of the President during the time the President is unable to carry out the duties of the President.

The Vice-Presidents will assist the President in the performance of his or her duties and will, in the absence of the President, perform those duties.  The Vice-Presidents will also perform such additional duties as may be assigned by the Executive or the President.

 

Resolution # 4  –  Part 14 – COMPLAINTS, DISCIPLINE AND APPEALS  –  14.5 – Interim Suspension by President

Add the following to the first paragraph:

Interim suspensions up to a period of seven (7) days are unreviewable.  The President shall notify the Discipline Committee of any suspension greater than seven (7) days without delay.

Change the wording of the second paragraph to:

A Person who has been suspended by the President will not be eligible to participate in any games or conduct any official business of the Association during the period of suspension or, in the case of suspensions greater than seven (7) days, until the Discipline Committee has reviewed the suspension and made a determination.

 

Resolution # 5  –  Part 14 – COMPLAINTS, DISCIPLINE AND APPEALS  –  14.7 Review by the Discipline Committee

Change the wording of the first paragraph to:

After being notified by either the President or the Executive, the discipline committee will commence a review of any interim suspension greater than seven (7) days or referred complaint within seven (7) days of being notified. In reviewing any interim suspension greater than seven (7) days or complaint, the discipline committee is able to conduct or undertake its own investigation of the circumstances of the complaint.

Change the wording of the second paragraph to:

Both the complainant and the alleged offender have the opportunity to provide further information for consideration by the discipline committee.

Change the wording of the third paragraph to:

In determining a complaint or reviewing an interim suspension of greater than seven (7) days, the discipline committee may, in its discretion, impose such disciplinary action as is determined to be appropriate in the circumstances, including but not limited to a further period of suspension. Following its review, the discipline committee will communicate its determination to all relevant parties in writing within 48 hours of the decision.

 

Resolution # 6 – HOUSEKEEPING

The Directors of the Society, or designate, be given the authority to make miscellaneous changes to the Bylaws in order to correct any errors in grammar, punctuation, page numbering, Bylaw numbering or in the Table of Contents and to correct any errors in context and position references which may have been inadvertently overlooked.

Nominations are being accepted for the following BMHA Executive Committee positions:

  1. President (one position) – one year term
  2. 1st Vice President (one position) – two year term
  3. 3rd  Vice President (one position)  – two year term
  4. Head Coach (one position) – two year term
  5. Treasurer (one position) – two year term
  6. Director at Large (one position)  – one year term
  7. Director at Lage (one position) – two year term

The BMHA Nominating Committee is accepting names of those persons who may be interested in putting their name forward for election to the 2021/22 BMHA Executive Committee in accordance with our BMHA By-Laws:

 

8.5 Nominations of Directors

A Member in good standing may be nominated for election as a Director in accordance with the following rules and such additional policies as may be established by the Executive:

(a) A nomination must be in writing and signed by the Member being nominated and at least two (2) other Members in good standing;

(b) All nominations must be submitted to the Association prior to the call to order for the General Meeting. No nominations from the floor will be permitted.
